Veranda Learning Solutions received sanction from the Chennai bench of the National Company Law Tribunal for a composite scheme of arrangement under an order dated 20 August that was uploaded the following day. The scheme merged wholly owned Veranda XL Learning Solutions into Veranda and demerged the Commerce Education Business into J.K. Shah Commerce Education Ltd, or JSCEL. It provided for Veranda shareholders to receive one JSCEL equity share for every Veranda share held on the record date, with JSCEL shares to be listed subject to requisite approvals and exemptions. Implementation required the certified order to be filed with the Registrar of Companies, after which Veranda XL would be dissolved without winding up and the demerged business transferred. The scheme had received support from 100% of Veranda's equity shareholders at a meeting held on 24 April. Commerce accounted for roughly 69% of Veranda's continuing revenue in FY26, while government test preparation contributed about 24%.
