Hindustan Composites Limited's board approved the transfer of its Friction Business Undertaking to Rane (Madras) Limited on a slump sale basis for a lump sum cash consideration of ₹370 crore, the company disclosed on June 30, 2026. The friction business, which develops and manufactures friction materials for automobile, railway, and industrial applications, generated turnover of ₹315.04 crore in the financial year ended March 31, 2026 — representing 84% of the company's total revenue. Rane (Madras) Limited is part of the Chennai-based Rane Group, a leading auto component supplier to major OEMs globally. The transaction is subject to shareholder approval through a postal ballot process and is expected to close on or before September 30, 2026. The company stated the divestiture unlocks embedded value, will help avoid a significant upcoming capital expenditure cycle, and a portion of the net proceeds is expected to be returned to shareholders by way of a special dividend. Post-completion, Hindustan Composites will retain its Treasury and Investment business and Commodity Trading operations.
