Cosmic CRF Ltd's board approved issuing 7,25,041 equity shares at ₹1,330 apiece, worth about ₹96 crore, in a share swap to acquire the remaining 26% of N.S. Engineering Projects and make the galvanising and infrastructure products maker a wholly owned subsidiary. The company, which took a majority stake in N.S. Engineering contributes roughly 40% of consolidated revenue, which stood at ₹716.60 crore in FY26 with a pre-tax profit of ₹61.80 crore. The board also approved migrating the company's shares from the SME platform to the main boards of the BSE and NSE, and raised its borrowing limit to ₹1,000 crore.

The resolution plan envisages a total consideration of ₹284 crore, payable over 12 months post NCLT approval, or a net present value of ₹266.57 crore within 90 days. The acquisition will give Cosmic CRF a 72.5-acre integrated wagon manufacturing facility in Punjab capable of producing 3,600 to 7,200 wagons a year, significantly expanding its manufacturing footprint outside West Bengal.
