Capital Services approved a programme to issue up to ₹1,000 crore of non-convertible debentures in one or more tranches through private placement or public issue, within its overall borrowing limits. The board also recommended raising up to ₹100 crore through non-convertible redeemable preference shares and authorised up to ₹500 crore of commercial paper. Consolidated profit for the June quarter was ₹28.27 crore, compared with ₹23.91 crore a year earlier, while standalone profit was ₹8.01 crore. It declared a first interim dividend of ₹12 a share, against ₹22 a share declared for the first interim dividend of FY26, with a cash outflow of ₹7.92 crore. The group’s consolidated debt-to-equity ratio was 2.54 times at June 30, against 2.73 times at March-end, and net worth was ₹1,158.88 crore. The AGM notice included related-party transaction limits, the reappointment of an independent director and the reclassification of the zero-holding A. K. Capital Markets from promoter group to public, subject to exchange approval.
